These Terms of Service ("Terms") govern your use of Formly.us (the "Service"), operated by Formly.us ("we," "us," "our"). By placing an order or otherwise using the Service, you agree to these Terms.

1. What we provide

Formly.us is a company formation filing service. We help you prepare and submit formation documents (such as Articles of Organization or Articles of Incorporation) to the state you select, and offer optional services such as registered agent service, EIN application assistance, and document preparation.

We are not a law firm, and no part of the Service constitutes legal, tax, or financial advice. If you need advice specific to your situation, consult a licensed attorney, accountant, or other qualified professional.

2. Service fees and government fees

Every order separates our service fee from the government filing fee charged by the state you select. Government fees are collected on behalf of the state and are outside our control — they may change, and estimates shown on this site should be confirmed before ordering. Optional add-ons and recurring services (such as registered agent renewal) are priced and disclosed separately at the time of purchase.

3. No guaranteed outcomes

We do not guarantee:

• Approval or issuance of an EIN by the IRS
• Approval of a bank account by any bank
• Approval of a payment processor account, including Stripe
• Any specific processing time by a state, which is outside our control

4. Your responsibilities

You're responsible for providing accurate information about your company, its owners, and its business purpose. We may rely on the information you submit without independently verifying it, and inaccurate information may delay or affect your filing.

5. Payments

Payments are processed through Stripe. By submitting an order, you authorize us to charge the payment method you provide for the service fee, applicable government fees, and any add-ons you select. See our Refund Policy for details on cancellations and refunds.

6. Account termination

We may suspend or terminate access to the Service for conduct that violates these Terms or is harmful to other users, the Service, or third parties.

7. Limitation of liability

To the maximum extent permitted by law, Formly.us is not liable for indirect, incidental, or consequential damages arising from your use of the Service. Our total liability for any claim is limited to the amount you paid us for the order giving rise to the claim.

8. Changes to these Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
